1. Accounts
Merchants sign in with a passwordless email link. You are responsible for the email account you use and for activity under your account. You must be 18 or older and authorized to act for the business you list.
2. The Service
Cliqs is a horizontal business directory that adapts client-facing tools — an industry-specific intake form and customer reviews — to a merchant's selected industry. Availability of specific features varies by plan and industry and may change.
3. Acceptable use & merchant responsibilities
- Provide accurate listing and business information.
- Comply with all laws and professional rules applicable to your industry, including state bar advertising rules (legal), licensing rules, and health regulations (see Section 6).
- You are solely responsible for your communications with consumers you invite through the Service (e.g., intake, confirmation, and review emails), including compliance with anti-spam and consumer-contact laws such as CAN-SPAM and the TCPA. Only contact people who have a relationship with your business.
- Do not upload unlawful content, infringe others' rights, or misuse, scrape, or overload the Service.
4. Reviews policy (FTC)
Reviews on Cliqs must reflect the genuine, first-hand experience of real customers. Consistent with the U.S. Federal Trade Commission's rules on consumer reviews and testimonials (16 CFR Part 465), you and your business must not:
- create, buy, or solicit fake, AI-fabricated, or misrepresented reviews;
- offer compensation or incentives conditioned on the content or sentiment of a review (any material connection must be clearly disclosed);
- suppress, or selectively route based on predicted sentiment, honest negative reviews (i.e., no “review gating”);
- post reviews of your own business or a competitor's.
Cliqs collects reviews only through single-use, emailed invitations and displays them without sentiment-based filtering. We may remove reviews that violate these Terms.
5. Advertising
The Service may display third-party advertising, including ads served through Google AdSense. Advertisements are identified as such. We do not endorse, and are not responsible for, advertised products or services. See our Privacy Policy for how advertising cookies are used and how to opt out.
6. Health information & HIPAA
Cliqs is not a HIPAA covered entity or business associate and does not sign Business Associate Agreements by default. If you are a healthcare provider or otherwise handle protected health information (PHI), you are solely responsible for your HIPAA and other regulatory compliance, and you must not transmit PHI through the Service unless separately contracted for that purpose. Review-collection is disabled for medical-clinic listings by default.
7. User content & intellectual property
You retain ownership of content you submit (listings, reviews) and grant Cliqs a non-exclusive license to host, display, and distribute it to operate the Service. The Cliqs platform, software, and branding remain our property.
8. Disclaimers
The Service is provided “as is” and “as available.” Directory listings and reviews are user-generated and are not endorsements by Cliqs. Nothing on the Service is professional, legal, medical, or financial advice. We disclaim all warranties to the fullest extent permitted by law.
9. Limitation of liability
To the fullest extent permitted by law, Cliqs will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim.
10. Indemnification
You agree to indemnify and hold Cliqs harmless from claims arising out of your content, your use of the Service, your communications with consumers, or your violation of these Terms or applicable law.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access for violations of these Terms or to protect the Service.
12. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Disputes will be resolved exclusively in the state or federal courts located in Harris County, Texas.
13. Changes
We may update these Terms; material changes will be posted here with a new “Last updated” date. Continued use after changes means you accept them.
